RMF represented a provider of commercial heating, ventilation and air conditioning services for the healthcare, industrial and public transportation industries. The transaction was structured as an equity sale to a private equity backed acquirer, and involved a complex restructuring of the client’s entity prior to the closing. As part of the consideration, the founders rolled over a portion of their equity into the acquiring entity.
