Ruskin Moscou Faltischek, P.C. represented Forerunner Technologies, Inc., a leading provider of communication solutions, in connection with its successful acquisition, in a complex cross-border carve-out transaction, of the on-premise UC business (the “Business”) of NEC Corporation in the United States and Canada.
Forerunner was the winning bidder in a lengthy auction conducted by NEC after its announcement in April 2024 that it would be ceasing new sales in the Business outside of Japan and exploring options that would extend the availability of products and service continuity while providing customers with a new relationship party for future business needs. Class VI Partners acted as financial advisor to Forerunner.
AlixPartners acted as financial advisor to NEC and NEC was represented in the transaction by Freshfields’ Tokyo office. Irvin Brum and Neil Novikoff primarily handled the transaction with assistance from Adam Silvers and John DeMaro with respect to IP matters.
